ThriftHub Seller Terms of Sale and Platform Use

Purpose and Scope
These Terms govern the submission, evaluation, sale, and purchase of tangible personal property through the ThriftHub platform.
ThriftHub, Inc. operates solely as a buyer and reseller of secondhand goods. The platform facilitates offers to purchase items. No services marketplace exists. No labor, sourcing, or operational activity is requested or compensated.
All payments made by ThriftHub represent purchase price for goods only.
1. Parties and Relationship
1.1 Thrift Hub, Inc., a Delaware corporation doing business as "ThriftHub," is engaged in the business of purchasing and reselling secondhand tangible personal property.
1.2 Seller refers to an individual natural person who submits items for evaluation and, if accepted, sells goods to ThriftHub in his or her personal capacity. These Terms apply only to the individual Seller and do not create any relationship with any business entity the Seller may own or operate.
1.3 Relationship Scope. The relationship between ThriftHub and any Seller is limited to discrete arm's-length transactions involving the purchase and sale of goods.
1.4 Non-Employee/Agent Status. No Seller is an employee, agent, partner, representative, or service provider of ThriftHub. No services are provided to ThriftHub, and no compensation is paid for time, effort, sourcing, performance, or outcomes.
1.5 No Obligation or Ongoing Relationship. Seller has no obligation to submit any items to ThriftHub, and ThriftHub has no obligation to purchase any item submitted. Each transaction, if any, is independent and creates no ongoing relationship. Seller has no authority to bind ThriftHub in any manner.
1.6 Principal Capacity. ThriftHub does not act as consignee, broker, auctioneer, marketplace operator, or agent for Seller. ThriftHub purchases items, if at all, as principal for its own account and resells them independently.
2. Item Submission and Evaluation
2.1 Submission as Request for Evaluation. Submission of item information constitutes a request for evaluation only.
2.2 Conditional Price Indication. Any price displayed prior to physical inspection is a conditional, revocable, and non-binding indication of potential purchase price. No offer is final until physical inspection is completed and acceptance is expressly confirmed by ThriftHub. Preliminary price indications do not constitute a firm offer under applicable commercial law.
2.3 Sole Discretion to Reject. ThriftHub retains sole discretion to accept or reject any item for any lawful reason, including but not limited to condition, authenticity, category restrictions, regulatory considerations, or commercial viability.
2.4 No Future Obligation. Approval of an item on one occasion does not create any obligation to approve the same or similar item in the future.
2.5 Revocation of Price Indication. ThriftHub may revoke or modify any preliminary price indication at any time prior to formal acceptance.
2.6 Optional Cost Entry. The platform may permit Seller to enter the amount Seller originally paid for an item. This field exists solely for Seller's personal tracking and recordkeeping purposes. ThriftHub does not rely on, consider, or use this information in determining purchase price, acceptance decisions, or commercial evaluation. Entry of such information does not create any expectation of profit, reimbursement, or pricing treatment.
2.7 Accepted Item Categories. ThriftHub currently accepts pre-owned clothing and apparel only. Items outside this category will be rejected at intake regardless of condition or value. ThriftHub may expand or modify accepted categories at any time at its sole discretion, with notice provided through the platform.
2.8 Pricing Methodology. Purchase prices are determined by ThriftHub's proprietary evaluation criteria, which may include but are not limited to item condition, brand, category, estimated resale value, current market demand, and inventory considerations. Prices may vary between items and between Sellers even where submitted items appear similar. ThriftHub makes no representation that any Seller will receive the same or similar price as any other Seller for comparable items. Pricing determinations are final upon acceptance and are not subject to negotiation or appeal.
3. Ownership, Title, and Risk of Loss
3.1 Ownership Transfer. Ownership of an item does not transfer at submission. Ownership transfers only upon ThriftHub's acceptance following physical inspection.
3.2 Confirmation of Acceptance. Acceptance occurs only upon electronic confirmation through the platform or written confirmation from ThriftHub following inspection. Upon confirmed acceptance and payment, transfer of title is final except in cases of fraud, counterfeit goods, or material misrepresentation.
3.3 Risk of Loss. Risk of loss, damage, or theft remains with the Seller until acceptance.
3.4 Rejected Items. Rejected items remain the property of the Seller unless otherwise addressed under Section 5.
3.5 No Bailment or Custodial Relationship. Until formal acceptance, ThriftHub's possession of submitted items is solely for inspection and evaluation purposes incidental to a potential purchase. No bailment, storage, custodial, fiduciary, warehouseman, or similar relationship is created. ThriftHub does not assume responsibility for safekeeping beyond ordinary commercial handling consistent with its internal operational practices.
3.6 Risk Allocation Prior to Acceptance. Seller retains all risk of loss prior to formal acceptance. To the fullest extent permitted by law, ThriftHub shall not be liable for loss, damage, or theft of submitted items prior to acceptance, except to the extent directly caused by ThriftHub's gross negligence or willful misconduct. Nothing herein shall be interpreted to create a heightened duty of care.
4. Inspection Standards and Acceptance
4.1 Inspection Upon Receipt. All items are subject to inspection upon receipt.
4.2 Grounds for Rejection. Items may be rejected if they are damaged, counterfeit, materially different from submitted representations, prohibited, incomplete, or otherwise unsuitable for resale.
4.3 Inspection Practices and Finality. Inspection and rejection practices are consistent with customary standards used by secondhand goods buyers, estate buyers, pawn shops, and resale businesses. Acceptance is determined solely by ThriftHub in its commercial judgment and may be revoked in cases of fraud, misrepresentation, or material defect discovered after acceptance.
5. Rejected Items Handling
5.1 Notification and Selection. For items rejected after inspection, ThriftHub will notify the Seller. Notice is deemed delivered when sent to the email address associated with the Seller's account. Where operationally feasible, the Seller may select one of the following two outcomes within the designated response window:
- 5.1.1 Return of the item to the Seller, at the Seller's expense. Risk of loss during return shipment remains with the Seller.
- 5.1.2 ThriftHub handles the item, which may include donation, recycling, or disposal at ThriftHub's discretion.
5.2 Response Deadline and Abandonment. The Seller must make a selection within seven (7) calendar days of notice as defined in Section 5.1. If no selection is made, the item will be deemed irrevocably abandoned, and Seller relinquishes all ownership rights. ThriftHub may dispose of, donate, recycle, or otherwise handle the item without further obligation.
5.3 Storage and Handling Fees. ThriftHub reserves the right to charge reasonable storage, handling, or disposal fees for items not timely reclaimed where permitted by law.
6. Purchase Price and Payment
6.1 Payment for Accepted Items Only. Payment is issued only for items that are accepted. Payment represents the full and final purchase price for the accepted item.
6.2 No Payment for Rejected Items. No payment is issued for rejected items.
6.3 No Additional Compensation. No advances, incentives, bonuses, commissions, revenue share, or performance-based compensation exist. Notwithstanding the foregoing, ThriftHub may offer one-time referral incentives to Sellers for introducing new Sellers to the platform. Such incentives are discretionary, constitute separate consideration unrelated to any goods transaction, and do not modify the nature of the relationship between ThriftHub and any Seller.
6.4 Payment Timing and Conditions. Payment is issued only after acceptance and verification of compliance with these Terms. Payment timing and method are determined by ThriftHub in its sole discretion. ThriftHub may delay payment where fraud review, compliance review, or dispute resolution is ongoing. No minimum purchase volume or payment amount is guaranteed.
6.5 Set-Off Rights. ThriftHub may offset or deduct amounts owed to Seller against any amounts Seller owes ThriftHub arising from fraud, misrepresentation, chargebacks, breach of these Terms, or other lawful claims.
7. Seller Representations and Transaction Status
Each Seller makes the following representations and acknowledgments with respect to any item submitted for evaluation and potential sale:
7.1 Ownership at Shipment. At the time an item is shipped to ThriftHub for inspection and potential purchase, the Seller holds lawful title to, or full legal authority to sell, that item.
7.2 Authenticity and Condition. Items submitted for sale are authentic, not counterfeit, and accurately described with respect to brand, condition, and material characteristics.
7.3 Freedom from Encumbrances. Items are free of liens, security interests, claims, or other third party encumbrances.
7.4 Independent Sourcing. All decisions related to acquiring, possessing, or sourcing items are made independently by the Seller. ThriftHub does not direct, advise, incentivize, or influence such decisions.
7.5 Cost Allocation. All costs, risks, and expenses incurred prior to the sale of an accepted item are borne solely by the Seller.
7.6 Transaction Based Relationship. Each transaction is a discrete sale of goods. Status for purposes of this sale is determined solely by the nature of the transaction and not by volume, frequency, or continuity of sales.
7.7 No Reliance or Expectation. Item evaluations and purchase decisions are specific to the item submitted and the time of evaluation. ThriftHub makes no representation regarding future acceptance, pricing, or purchase of similar items.
7.8 No Ongoing Obligation. Seller acknowledges that no continuous, exclusive, dependent, or employment-like relationship is created by repeated transactions. Each sale, if any, is independent.
7.9 No Expectation of Profit. Seller acknowledges that submission of items does not create any expectation of profit, income, or financial return. ThriftHub does not guarantee resale success, frequency of acceptance, pricing consistency, or liquidity of goods.
8. Tax Responsibility and Reporting
8.1 Nature of Amounts Paid. Amounts paid by ThriftHub constitute consideration for the purchase of goods.
8.2 Seller Tax Consequences. Tax consequences depend on the Seller's individual circumstances and may include capital gains, losses, or ordinary business income. ThriftHub does not provide tax advice.
8.3 Transaction Characterization. Transactions are treated as purchases of goods, not compensation for services.
8.4 Reporting Forms. ThriftHub does not issue Forms 1099-NEC and does not collect Forms W-9 for goods purchases, unless required by a change in applicable law.
8.5 Seller's Responsibility. Sellers are responsible for determining and remitting any applicable income or sales taxes.
8.6 Acknowledgment. Seller acknowledges that amounts received represent proceeds from the sale of goods and not compensation for services.
9. Prohibited and Restricted Items
9.1 General Rule. Items prohibited by law, carrier rules, or resale regulations may not be submitted.
9.2 Prohibited Categories. Prohibited categories include, without limitation:
- 9.2.1 Firearms and ammunition
- 9.2.2 Explosives and hazardous materials
- 9.2.3 Alcohol, tobacco, and controlled substances
- 9.2.4 Perishable goods and live animals
- 9.2.5 Lithium batteries where restricted
- 9.2.6 Counterfeit or stolen goods
9.3 Breach. Submission of prohibited items constitutes material breach.
10. Fragile Items
10.1 Acceptance Discretion. Fragile items may be accepted at ThriftHub's discretion.
10.2 Seller Packaging Responsibility. Packaging is the sole responsibility of the Seller.
10.3 Handling of Damaged Items. Items received damaged will not be accepted for purchase and will be handled in accordance with Section 5.
11. Fraud, Misrepresentation, and Remedies
11.1 Definition of Fraud. Submission of counterfeit, stolen, or misrepresented goods constitutes fraud.
11.2 ThriftHub Remedies. ThriftHub may withhold payment, reverse acceptance, restrict access related to future item submissions, and report activity to appropriate authorities.
11.3 Indemnification. Seller agrees to defend, indemnify, and hold harmless ThriftHub, its officers, directors, employees, affiliates, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from breach of these Terms, ownership disputes, intellectual property infringement, counterfeit goods, regulatory violations, or misrepresentation related to submitted items.
11.4 Recovery of Payment. ThriftHub may reverse acceptance and recover payment where fraud, counterfeit goods, or material misrepresentation is discovered.
12. Platform Disclaimer
12.1 "As Is" Basis. The platform is provided on an "as is" and "as available" basis.
12.2 No Representations. ThriftHub makes no representations regarding acceptance rates, pricing consistency, or resale outcomes.
12.3 No Expectation of Future Purchases. No expectation of future purchases is created.
12.4 No Guarantee of Liquidity. ThriftHub makes no guarantee that submitted items will be accepted, purchased, or resold within any timeframe.
12.5 Platform Changes. ThriftHub may modify, suspend, or discontinue any part of the platform at any time without liability.
12.6 Disclaimer of Warranties. To the fullest extent permitted by law, ThriftHub disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, in connection with platform use and evaluation decisions.
13. Geographic Availability
13.1 Compliance Limitation. Platform availability is limited to jurisdictions where goods only resale models are compliant.
13.2 Restrictions. Availability may be restricted or expanded on a state by state basis.
13.3 Access Blocking. ThriftHub may restrict or block access based on shipping origin, residence, or IP address. Transactions originating from restricted jurisdictions may be voided at ThriftHub's discretion.
14. Dispute Resolution and Governing Law
14.1 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or any transaction between Seller and ThriftHub shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable.
14.2 Venue. Arbitration shall take place in the State of Delaware unless otherwise required by applicable law.
14.3 Individual Proceedings Only. Arbitration shall be conducted on an individual basis only. Class actions, consolidated proceedings, and representative actions are waived to the fullest extent permitted by law.
14.4 Small Claims Exception. Either party may bring an individual claim in small claims court where jurisdiction permits.
14.5 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
14.6 Jury Trial Waiver. To the extent any dispute is permitted to proceed in court, the parties waive any right to a jury trial.
14.7 Arbitration Costs. Arbitration fees shall be allocated in accordance with the applicable AAA rules, except that each party shall bear its own attorneys' fees unless otherwise required by law.
15. Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary to remain valid. All remaining provisions remain in full effect.
16. Amendment and Change Control
16.1 Updates. These Terms may be updated to reflect legal, regulatory, or operational changes.
16.2 Communication. Material changes will be communicated through platform notice.
16.3 Acceptance. Continued platform use constitutes acceptance of revised terms.
17. Prior Agreements Superseded and Released
17.1 Supersedure. These Terms supersede and replace all prior agreements, terms, policies, or understandings between ThriftHub and the Seller relating to item submission, platform use, or transactions with ThriftHub, including any prior independent contractor, picker, services, or similar agreements.
17.2 Governing Terms. Upon acceptance of these Terms, all current and future interactions between the Seller and ThriftHub are governed exclusively by these Terms and constitute only the submission and sale of goods.
17.3 Release. To the fullest extent permitted by law, the Seller acknowledges that any prior characterization of the relationship as involving employment, independent contracting, services, or similar roles is no longer applicable, and releases ThriftHub from any claims based on such characterizations arising from periods after acceptance of these Terms.
17.4 Entire Agreement. These Terms constitute the entire agreement between Seller and ThriftHub regarding item submission and sale. No oral statements, prior communications, or course of dealing shall modify these Terms unless expressly agreed in writing.
18. Limitation of Liability
18.1 Exclusion of Damages. To the fullest extent permitted by law, ThriftHub shall not be liable for indirect, incidental, consequential, punitive, or special damages.
18.2 Total Liability Cap. ThriftHub's total liability arising from any transaction shall not exceed the total purchase price paid to Seller for the item(s) at issue.
19. Platform Access and Termination
ThriftHub may suspend or terminate Seller's access to the platform at any time for any lawful reason, including suspected fraud, repeated non-compliance, or operational risk. Termination or suspension does not create liability for lost opportunities, anticipated profits, or expected future transactions.
20. Electronic Acceptance
Acceptance of these Terms may occur electronically. Electronic acceptance and electronic records constitute binding agreement.
21. Force Majeure
ThriftHub shall not be liable for delay or failure to perform due to events beyond its reasonable control, including carrier delays, natural disasters, regulatory actions, or system outages.
End of Agreement
