ThriftHub – Independent Contractor Agreement
Effective Date: August 2025
Purpose of This Agreement
This Agreement is designed to protect both you, the Picker, and ThriftHub. By clearly outlining responsibilities, payout standards, and legal protections, we aim to ensure a safe, transparent, and rewarding experience for everyone using the Platform.
1. Engagement
ThriftHub hereby engages you as an independent contractor, and you agree to perform services on a non-exclusive, self-directed basis as a Picker using the Platform. You are free to provide similar services for other parties.
2. Relationship of the Parties
You acknowledge that you are not, and shall not present yourself as, an employee, agent, partner, joint venture participant, or legal representative of ThriftHub. You have no authority to bind or obligate ThriftHub in any manner. As an independent contractor, you are not entitled to, and will not claim, any employee benefits such as workers' compensation, unemployment insurance, disability insurance, health coverage, paid leave, or retirement plans.
3. Geographic Eligibility
ThriftHub is currently available only to Pickers operating in the following U.S. states:
Activities conducted outside of these states are prohibited and may result in account termination and forfeiture of compensation.
4. Control and Autonomy
You maintain full control over when and where you operate, which items to source, and how to conduct your services. ThriftHub does not control or direct your daily activities, schedule, or decision-making.
5. Assumption of Risk
You voluntarily assume all risks associated with your participation on the Platform, including travel, transportation, injury, illness, theft, loss, or damage to property, and interactions with third parties. ThriftHub bears no responsibility or liability for such risks.
6. Release of Liability
To the fullest extent permitted by law, you release and discharge ThriftHub, its officers, directors, employees, affiliates, and agents from any and all claims, demands, or damages arising out of or related to your use of the Platform or your services as a Picker.
7. Indemnification
You agree to defend, indemnify, and hold harmless ThriftHub from any claims, liabilities, damages, expenses, or legal fees arising from: your activities on the Platform, any product you submit, your breach of these Terms, or third-party claims arising from your conduct.
8. Platform Provided 'As Is'
ThriftHub makes no warranties regarding your potential earnings, approval rates, or resale outcomes. The Platform is provided 'as is' and 'as available.'
9. Payment Terms
Payments for approved items will be processed within 30 business days from the date the item is received at a ThriftHub warehouse. ThriftHub may delay, reduce, or withhold payment if an item is damaged, counterfeit, materially different from the description provided, fails quality checks, violates policies, or if fraud or misuse is suspected.
Accuracy of Submitted Items
Payment will only be issued for items that match the description and condition provided at the time of submission. If an item is materially different, substituted, or fails to arrive, no payment will be issued.
Tax Compliance
In accordance with U.S. tax law, ThriftHub is required to collect a completed IRS Form W-9 once your annual payouts reach $600. Pickers who do not submit a valid W-9 may not continue shipping or receiving payouts beyond this threshold.
10. Prohibited, Restricted, and Fragile Items
Pickers agree not to scan, submit, or ship items prohibited by law or by ThriftHub's carrier and resale partners. This includes firearms, ammunition, explosives, hazardous materials, alcohol, tobacco, drugs, perishable goods, live animals, lithium batteries, counterfeit or stolen goods, and any other unsafe or unfit items.
Fragile Items
Fragile items such as glass, ceramics, or other easily breakable goods may be accepted at ThriftHub's discretion. Pickers are solely responsible for safe packaging. Items arriving damaged due to poor packaging may be discarded without payment.
11. Dispute Resolution & Governing Law
Any dispute arising from this Agreement shall be resolved exclusively through final and binding arbitration under the laws of the State of Delaware. You waive any right to a jury trial or to participate in class, collective, or representative actions against ThriftHub.
12. Legal Severability
If any provision of this Agreement is deemed invalid or unenforceable, it shall be modified only to the extent necessary to be valid, and the remainder shall remain in full force and effect.
Final Acknowledgment
By using the ThriftHub Platform, you confirm that you have read and understood this Agreement, agree to abide by it at all times, and permanently waive any right to assert employment status or file related claims against ThriftHub.
